These Terms of Use ("Terms") govern your access to and use of the website located at https://www.christielaws.com and any related pages, features, forms and content made available through it (collectively, the "Site"). The Site is operated by Christie ("Christie", "we", "us" and "our").
By accessing or using the Site in any way — including by browsing it, submitting information through any form, or clicking an "I accept" (or similar) button — you represent that (1) you have read, understood and agree to be bound by these Terms; (2) you are of legal age to form a binding contract; and (3) if you are using the Site on behalf of an organisation, you have the authority to bind that organisation to these Terms. The term "you" refers to the individual or entity using the Site. If you do not agree to these Terms, you must not access or use the Site.
Nothing in these Terms limits or excludes any right, protection or remedy that applicable mandatory law grants you and that cannot lawfully be limited or excluded. Where any provision conflicts with such mandatory law, that law prevails to the minimum extent necessary, and the remaining provisions continue in effect.

2. Use of the site
2.1 Permission to Use. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable permission to access and use the Site for your personal or internal business informational purposes, in accordance with its intended functionality.

In particular, you shall not: (a) infringe any patent, trademark, trade secret, copyright, right of publicity or other right of any party; (b) submit or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive of privacy, obscene or offensive; (c) use the Site to send unauthorised or unsolicited advertising, spam or bulk communications; (d) impersonate any person or entity, or misrepresent your affiliation with any person or entity; (e) interfere with or disrupt the operation of the Site, including by introducing viruses or other harmful code, or by overloading, flooding or crashing the Site; (f) attempt to gain unauthorised access to any part of the Site, its servers or any connected systems; or (g) collect or harvest information about other users. 4.3 Feedback. 5.2 Trademarks. "Christie" and all related logos, names and marks used on the Site are trademarks of Christie and may not be used without our prior written permission. Other marks that may appear on the Site are the property of their respective owners.
5.3 Infringement Notices. We respect the intellectual-property rights of others. If you believe that content on the Site infringes your rights, please notify us in writing at the address in Section 11 and include: (a) identification of the right you claim has been infringed; (b) identification of the material claimed to be infringing and its location on the Site (for example, a URL); (c) your name and contact details; (d) a statement that you have a good-faith belief that the disputed use is not authorised by the rights holder, its agent or the law; and (e) a statement that the information in your notice is accurate and that you are the rights holder or authorised to act on the rights holder's behalf. We may remove or disable access to the material while we assess your claim.

9. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Christie and its affiliates, officers, employees, agents, suppliers and licensors harmless from any losses, costs, liabilities and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site; (b) your Submissions; (c) your violation of these Terms; or (d) your violation of any rights of another party or any applicable law. We reserve the right, at our own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us. This section survives termination of these Terms.
10. Governing law and disputes
10.1 Informal Resolution. If a dispute arises between you and Christie, we will work with you in good faith to resolve it. Before commencing any formal proceedings, please contact us at the address in Section 11 with a description of the dispute and the resolution you seek, and we will attempt to resolve the matter within 60 days.

12. General provisions
12.1 Termination. We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or for any other legitimate reason. The provisions that by their nature should survive termination (including Sections 5, 7, 8, 9, 10 and 12) will continue in effect.
12.2 Electronic Communications. You consent to receive communications from us in electronic form, and you agree that electronic communications satisfy any legal requirement that they be in writing, to the extent permitted by applicable law. This does not affect any statutory rights you may have.
12.3 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation or sale of assets, or by operation of law.
12.4 Force Majeure. We are not liable for any delay or failure to make the Site available resulting from causes outside our reasonable control, including acts of God, war, civil unrest, acts of authorities, fire, flood, pandemic, or failures of telecommunications or internet infrastructure.
12.5 Waiver. Our failure to enforce any provision on one occasion is not a waiver of that or any other provision on any other occasion.
12.6 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be construed to reflect the parties' original intention as nearly as possible, and the remaining provisions will remain in full effect.
12.7 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Christie with respect to your use of the Site and supersede all prior understandings, except that nothing here excludes any rights that cannot lawfully be excluded.
12.8 Language. These Terms are drawn up in English. Where we provide a translation for convenience, the English version prevails in the event of any conflict, except where mandatory local law requires otherwise.
